Jardin Bahar is an Indonesian qualified attorney. His practice covers various corporate and transactional matters in Indonesia. He has strong capabilities in the area of project, construction and finance.  His in-depth knowledge of Indonesian infrastructure regulatory framework (particularly relating to Public Private Partnerships) combined with his familiarity with international transaction practice, has put him as the leading attorney in the infrastructure field in Indonesia. He has advised and been involved in several major infrastructure projects in Indonesia. Some examples include the Jakarta Mass Rapid Transit Project with investment value estimated to be USD1,5 billion and Soekarno Hatta International Airport Railway Project with investment value estimated to be USD2,2 billion.

He has advised various clients with multi nationalities. Some of his representative clients include Samsung C&T Corporation (Korean), Toyota Tsusho Corporation (Japan), Foster Wheeler Group, Volex Plc (UK), plus various Indonesia clients, including several Indonesian state-owned enterprises, such as PT Sarana Multi Infrastruktur (Persero), PT Angkasa Pura I (Persero), and PT Wijaya Karya (Persero) Tbk.

He also has Indonesian banking and finance capabilities, including conventional corporate loans, syndication, asset finance and project finance. He has advised prominent banks and financing institutions, including Standard Chartered Bank Group, ANZ Bank Group, PT Indonesia Infrastructure Finance, OCBC Group, and International Finance Corporation.

  • as Indonesian counsel for a syndicate of lenders and Islamic participants on USD200 million conventional and Islamic facilities to PT Garuda Indonesia (Persero) Tbk;
  • as Indonesian counsel for a syndicate of Lenders on proposed USD650 million syndicated term loan facility for PT Perusahaan Gas Negara (Persero) Tbk;
  • PT Sarana Multi Infrastruktur (Persero) (“SMI”) on a revolving facility for mini-hydro power plant project in Lubuk Gadang, West Sumatera;
  • PT Indonesia Infrastructure Finance (“IIF”) on the USD12.5 million equity investment in an Indonesian power company;
  • a major international bank on the USD58 million revolving facility to PT AIA Financial;
  • PT Bank ANZ Indonesia on USD50 million facility agreement for financing to an Indonesian gold mining company;
  • IIF on USD35 million working capital and senior term loan facilities financing for PT Garuda Maintenance Facility Aero-Asia;
  • PT Mass Rapid Transit Jakarta ("MRTJ") on the channeling of loan from Japan International Cooperation Agency (JICA) to DKI Jakarta (on-granting) for the construction of Jakarta MRT project;
  • Standard Chartered Bank on Indonesian regulatory advice relating to cash netting and domestic notional pooling product;
  • a syndicate of lending banks on the USD100 million onshore and offshore financing to finance the development cost of a premium grade apartment building in Indonesia;

  • as Indonesian counsel for HSBC, Jakarta Branch on assignment of its security documents;

  • a consortium of international construction companies on its proposed participation in an EPC tender for the Tangguh LNG expansion project (Train 3);
  • Advising PT Baramulti Sugih Sentosa on the proposed entry into Oil Supply Agreement with the oil supplier company, and proposed entry into Lease of Oil Tank Agreement with counterparts;
  • Advising PT Bumi Sekundang Enim Energy on the proposed development of the Sumsel 9&10 Mine Mouth Coal-fired Power Plant Independent Power Producer in South Sumatera, Indonesia;
  • PT Petrokimia Gresik in connection with gas sales and gas transportation arrangements;
  • The World Bank Group and Ministry of Finance in establishing PPP unit and development of PDF framework;
  • PT Angkasa Pura I (AP 1) in relation to the proposed joint operation/joint venture with a foreign aviation company for the operation of General Aviation Terminal in Ngurah Rai Bali;
  • AP 1 in relation to the proposed joint venture for expansion of relocated airport to a new site in Special Region of Yogyakarta;
  • SMI and the Ministry of Transportation in connection with the pre-feasibility study of Soekarno – Hatta Airport Rail Link Project;
