Legal Consultant for the Merger of Injourney and ITDC

HJP provided legal advisory services for the merger of PT Pengembangan Pariwisata Indonesia/ITDC into the newly established state-owned tourism holding company, PT Aviasi Pariwisata Indonesia (InJourney), as part of the integration of five SOEs in the tourism sector. The scope included preparing a joint legal review on ITDC’s inclusion, securing corporate and third-party approvals, and supporting the issuance of relevant regulations. HJP also assisted with stakeholder management and project monitoring throughout the merger process.

• Conducting legal assessment and preparing a consolidated legal review on the inclusion of ITDC into the tourism SOE holding structure.
• Assisting in obtaining required corporate approvals and third-party consents relevant to the merger process.
• Providing advice and support in the issuance of applicable laws and regulations related to the restructuring.
• Supporting stakeholder management and conducting engagement activities with relevant parties.
• Monitoring project progress and providing updates on legal milestones related to the merger implementation.
