Legal Review and Documentation for LRT Jabodebek Project

HJP was engaged by PT Sarana Multi Infrastruktur (Persero) to provide legal assistance in the review of feasibility study and preparation of legal documentation for the Light Rail Transit (LRT) Jabodebek Project, with an approximate value of USD ±32.6 billion. The project required comprehensive legal due diligence and support to ensure alignment among various stakeholders involved in the infrastructure financing process.

• Conducted a legal and regulatory review on the feasibility study of the project, including legal due diligence on relevant agreements and supporting documentation.
• Prepared legal documents based on the findings from the legal and regulatory review to ensure they align with the proposed business case and financing structure.
• Assisted PT SMI in engaging with stakeholders to ensure understanding of, and agreement with, the legal and regulatory recommendations provided.
• Drafted an indicative financing term sheet to outline the proposed financing terms and conditions for the project.
• Reviewing the legal implications of the financing structure and supporting the development of legal frameworks for fare setting and revenue-sharing mechanisms.
